Welcome to Sqanna!

These Terms of Service ("Terms") govern your access to and use of the Sqanna website, applications and services (collectively, the "Services").

By creating an account, accessing the Services or using Sqanna in any way, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

These Terms form a legally binding agreement between you and:

Throughout these Terms, "Sqanna", "we", "our" and "us" refer to Codeberg Solutions AB.

1. About Sqanna

Sqanna is a platform for creating, managing and analysing QR codes.

Depending on your subscription and the features you choose to use, Sqanna may allow you to:

  • Create static and Smart QR Codes
  • Update QR code destinations without changing the printed QR code
  • Schedule destination changes
  • Download QR codes in various formats
  • Track scan analytics
  • Organise QR codes into projects or folders
  • Share QR codes with team members
  • Access additional premium functionality

The exact features available depend on your subscription plan and may change over time.

2. Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services, applicable laws or our business.

If we make material changes, we will make reasonable efforts to notify you before the changes take effect. This may include displaying a notice within the Services or sending an email to the address associated with your account.

Your continued use of Sqanna after updated Terms become effective constitutes your acceptance of those updated Terms.

If you do not agree with the revised Terms, you must stop using the Services.

3. Privacy

Your privacy is important to us.

Our collection, use and storage of personal information is described in our Privacy Policy.

By using Sqanna, you acknowledge that your information will be handled in accordance with our Privacy Policy.

4. Eligibility and Accounts

To use certain features of Sqanna, you must create an account.

By creating an account, you represent and warrant that:

  • You are at least 18 years old or otherwise have the legal capacity to enter into a binding agreement.
  • The information you provide is accurate and kept up to date.
  • You will use the Services in compliance with these Terms and all applicable laws.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

If you believe your account has been accessed without authorization, you must notify us as soon as possible.

We are not responsible for losses resulting from unauthorized access caused by your failure to protect your account credentials.

5. Your Sqanna Account

Your Sqanna account allows you to create, manage and monitor your QR codes.

You are responsible for:

  • Managing your QR codes and their destinations.
  • Keeping your destination URLs accurate and up to date.
  • Managing your team members, if applicable.
  • Reviewing your analytics and account settings.
  • Maintaining access to the email address associated with your account.

Certain features may only be available on paid subscription plans.

6. Acceptable Use

Sqanna is intended for legitimate business and personal use.

You agree not to use the Services to:

  • Violate any applicable laws or regulations.
  • Infringe another person's intellectual property rights.
  • Distribute malware, viruses or other harmful software.
  • Direct users to fraudulent, deceptive or phishing websites.
  • Promote illegal goods or services.
  • Distribute spam or unsolicited communications.
  • Attempt to gain unauthorized access to Sqanna or any third-party systems.
  • Interfere with or disrupt the operation of the Services.
  • Circumvent usage limits or subscription restrictions.
  • Use automated systems to abuse or overload the platform.

You are solely responsible for the content and destinations associated with your QR codes.

We reserve the right to suspend or terminate accounts that violate these Terms or that pose a risk to other users, third parties or the stability of the Services.

7. QR Code Content and Destinations

Sqanna provides the infrastructure for creating and managing QR codes.

You are solely responsible for:

  • The destination URLs configured for your QR codes.
  • Any websites, applications or services your QR codes redirect to.
  • The legality, accuracy and safety of the content accessible through your QR codes.
  • Ensuring your QR codes do not mislead users regarding their intended destination.

Sqanna does not monitor or review every destination configured by users.

7.1 Destination Availability

You are responsible for ensuring that the destinations configured for your QR codes remain valid and accessible.

Sqanna does not monitor the ongoing availability of destination websites or applications unless explicitly stated as part of the Services.

Expired domains, unavailable servers, removed applications or incorrectly configured destinations remain the responsibility of the account owner.

However, we reserve the right to investigate complaints, disable QR codes or suspend accounts where we reasonably believe the Services are being used in violation of these Terms or applicable law.

8. User Content

You retain ownership of the content you upload or create using Sqanna, including:

  • QR code names
  • Labels
  • Logos
  • Images
  • Destination URLs
  • Custom branding
  • Other content you provide through the Services

By uploading or creating content within Sqanna, you grant us a limited, non-exclusive licence to store, process and display that content solely for the purpose of operating, maintaining and improving the Services.

We do not claim ownership of your content.

You are responsible for ensuring that you have all necessary rights and permissions to upload and use any content within Sqanna.

9. Subscription Plans

Sqanna offers both free and paid subscription plans.

The features, usage limits and pricing for each plan are described on our Pricing page.

We may introduce, modify or discontinue subscription plans from time to time. Changes will not affect your current billing period, but may apply when your subscription renews.

10. Billing and Payments

Paid subscriptions are billed in advance on a recurring basis unless otherwise stated.

By purchasing a subscription, you authorize us or our payment provider to charge your selected payment method for all applicable fees, taxes and recurring charges associated with your subscription.

All fees are displayed before completing your purchase.

Unless otherwise stated, all prices are exclusive of any applicable taxes, duties or governmental charges.

If a payment cannot be processed, we may suspend access to paid features until payment has been successfully completed.

11. Subscription Renewals

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

You may cancel your subscription at any time through your account settings.

Unless otherwise required by law, cancelling a subscription prevents future renewals but does not result in a refund for the current billing period.

After cancellation, your subscription will remain active until the end of the period already paid for.

12. Free Plans and Trial Features

Sqanna may offer free plans, free trials or promotional access to certain features.

These offerings may be subject to usage limits, feature restrictions or expiration dates.

We reserve the right to modify or discontinue free plans or promotional offers at any time.

Where reasonably possible, we will provide advance notice before changes that materially affect existing users.

13. Refunds

Unless required by applicable law, subscription fees are non-refundable.

If you believe you have been charged incorrectly, please contact us and we will investigate the issue.

Nothing in these Terms limits any consumer rights that cannot legally be excluded under applicable law.

14. Changes to Pricing

We may update our pricing from time to time.

If you have an active paid subscription, any pricing changes will take effect no earlier than your next renewal date.

If you do not agree with the updated pricing, you may cancel your subscription before it renews.

15. Early Adopter Pricing

From time to time, Sqanna may offer discounted pricing or special plans for early adopters.

Unless otherwise stated at the time of purchase, customers who subscribe under an early adopter offer will retain that pricing for as long as their subscription remains active and in good standing.

If your subscription is cancelled or lapses due to non-payment, any future subscription will be subject to the pricing available at the time of reactivation.

We reserve the right to discontinue early adopter offers for new customers at any time without affecting existing eligible subscribers.

16. Taxes

You are responsible for any taxes, duties or governmental charges applicable to your purchase, except for taxes based on our income.

Where required by law, applicable taxes such as VAT or GST will be collected during checkout.

17. Intellectual Property

Sqanna, including its website, applications, software, branding, logos, trademarks, graphics, documentation and underlying technology, is owned by Codeberg Solutions AB or its licensors and is protected by applicable intellectual property laws.

These Terms do not grant you ownership of any intellectual property belonging to Sqanna.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to use the Services for their intended purpose.

You may not:

  • Copy, reproduce or redistribute the Services except as permitted by law.
  • Reverse engineer, decompile or attempt to discover the source code of the Services.
  • Remove copyright, trademark or proprietary notices.
  • Use Sqanna's branding without our prior written permission.

18. Availability of the Services

We strive to provide a reliable and continuously available service.

However, Sqanna is provided on an "as available" basis.

From time to time we may:

  • Perform scheduled maintenance.
  • Deploy updates or new features.
  • Fix bugs or security issues.
  • Temporarily suspend parts of the Services to maintain stability or security.

While we aim for high availability, we do not guarantee uninterrupted or error-free operation.

18.1 Redirect Availability

Sqanna provides the infrastructure for managing and processing QR code redirects.

While we strive to ensure that redirect requests are handled reliably and with minimal latency, we are not responsible for the availability, performance or content of third-party websites, applications or services that your QR codes direct users to.

If a destination website, application or service is unavailable, removed, suspended or misconfigured, users may be unable to access the intended content even if the Sqanna Services are operating normally.

18.2 Redirect Updates

Changes to QR code destinations are generally applied immediately.

However, due to caching, content delivery networks (CDNs), browser behaviour or other technical limitations, updates may take a short period of time to propagate.

While we aim to minimise these delays, we do not guarantee that destination changes will be reflected instantly across all devices, networks or geographic locations.

19. Changes to the Services

We continuously improve Sqanna.

As part of this process we may:

  • Add new functionality.
  • Modify existing features.
  • Improve the user interface.
  • Remove outdated functionality.
  • Introduce new subscription plans or usage limits.

Where practical, we will provide advance notice before removing or significantly changing functionality that materially affects existing customers.

20. Suspension and Termination

You may stop using Sqanna at any time.

You may also delete your account through the Services or by contacting us.

We may suspend or terminate your account if:

  • You violate these Terms.
  • You fail to pay applicable subscription fees.
  • Your use of the Services poses a security risk.
  • We are required to do so by law.
  • Your use threatens the stability, availability or integrity of the Services.

Where appropriate, we will make reasonable efforts to notify you before suspension or termination and provide an opportunity to resolve the issue.

Following termination, we may delete your account and associated data in accordance with our Privacy Policy and applicable law.

21. Service Availability and Data Retention

You are responsible for maintaining your own copies of any information you consider important.

While we take reasonable measures to protect customer data, we recommend exporting or backing up critical information where appropriate.

If your account is closed, we may retain certain information for legal, accounting, fraud prevention or security purposes as required by applicable law.

Other data may be permanently deleted after a reasonable retention period.

22. Disclaimer of Warranties

Sqanna is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, we make no warranties or guarantees regarding the Services, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability.

While we strive to provide a reliable and secure platform, we do not guarantee that:

  • The Services will always be available or uninterrupted.
  • The Services will always be free from bugs or errors.
  • QR code destinations will always be reachable.
  • Third-party services or websites will remain available.
  • Analytics data will always be complete or error-free.

You acknowledge that you use the Services at your own risk.

23. Limitation of Liability

To the fullest extent permitted by law, Codeberg Solutions AB and its employees, directors, affiliates and partners shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages.

This includes, but is not limited to:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of data
  • Business interruption

Our total liability arising from or relating to the Services shall not exceed the amount you paid to Sqanna during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

24. Indemnification

You agree to indemnify and hold harmless Codeberg Solutions AB, its employees, directors and affiliates from any claims, damages, losses, liabilities and expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your QR code destinations or uploaded content.
  • Your infringement of another person's rights.
  • Your violation of applicable laws or regulations.

This obligation applies only to the extent permitted by applicable law.

25. Force Majeure

We shall not be liable for delays or failures to perform our obligations where such delays or failures result from events beyond our reasonable control.

Examples include, but are not limited to:

  • Natural disasters
  • Floods or fires
  • War or terrorism
  • Government actions
  • Internet or telecommunications outages
  • Power failures
  • Labour disputes
  • Widespread cyber attacks
  • Failures of third-party infrastructure providers

We will make reasonable efforts to restore the Services as soon as practicable.

26. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted, where possible, in a manner that most closely reflects its original intent.

27. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Codeberg Solutions AB regarding your use of Sqanna.

They supersede any prior agreements or understandings relating to the Services.

28. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Sweden, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the Swedish courts, unless otherwise required by applicable law.
